STANDARD TERMS AND CONDITIONS

The software platform and associated materials are either owned or licensed by the Licensor. By signing the document that includes these terms or otherwise indicating your acceptance, you, the Customer, agree to these Standard Terms.

1. INTERPRETATION

  • Add-On: Optional features or platform functionalities as defined in an Order Form, which may include messaging services.
  • Agreement: Collectively refers to these Standard Terms and the Order Form.
  • Affiliate: Any entity under direct or indirect control of another entity.
  • Annual Hiring Volumes: Agreed volumes set forth in the Order Form (or updated volume, if agreed in a Change Request).
  • Applicable Laws: Consumer, taxation, privacy, and other relevant laws applicable to the agreement.
  • Artificial Intelligence (AI): Systems designed to perform tasks that mimic human intelligence.
  • Authorised User: Individuals designated by the Customer to access and use the platform.
  • Background IP: Intellectual property owned before or independently of this Agreement.
  • Candidate: Individuals seeking employment or employed by the Customer.
  • Candidate Interview: Platform functionality for text-based or video-based interviews.
  • Change Request: Updated Order Form signed by both parties reflecting agreed changes.
  • Claim: Any demand or cause of action arising from this Agreement.
  • Confidential Information: Terms of the Agreement and proprietary information shared between parties.
  • Control: Power to direct the activities of another entity.
  • Customer: Individual or business outlined in the Order Form.
  • Customer Data: Data provided by the Customer or authorised users.
  • De-identified Derived Data: Data processed to ensure individuals cannot be identified.
  • Feedback: Suggestions or comments provided by the Customer.
  • Force Majeure Event: Circumstances beyond control, such as natural disasters.
  • Foundation Model: AI models trained on broad datasets.
  • Generative AI Platform: AI software that generates content like text or images.
  • Hiring Purposes: Use of the platform for recruitment activities.
  • Implementation Services: Setup and deployment services outlined in the Order Form.

2. ORDER FORM

These terms govern platform use. The Order Form specifies Customer rights and authorised access.

3. LICENCE

The Customer receives a non-exclusive, non-transferable, and revocable licence to use the platform during the subscription term as defined in the Order Form.

4. CUSTOMER ACKNOWLEDGEMENTS

The Customer is responsible for submitted data accuracy and compliance with applicable laws.

5. ACCOUNTS AND AUTHORISED USERS

Access is restricted to authorised users who must maintain confidentiality and follow the Agreement terms.

6. CANDIDATES

Candidates may be required to agree to the privacy policy before accessing the platform.

7. FEES AND TAXES

The Customer must pay all applicable fees on time in the specified currency.

8. SUSPENSION, TERM AND TERMINATION

The Agreement begins on the effective date and ends at the subscription term’s close, unless terminated earlier.

9. SOFTWARE UPGRADES

Platform updates are provided to the Customer during the subscription period.

10. SERVICES

Support services include platform issue resolution and necessary updates, as outlined in the Order Form.

11. ADD-ONS

Customers may purchase additional services or features per the Order Form.

12. LIMITATION AND IMPLIED TERMS

The platform is provided without warranties. Customers are responsible for their usage and decisions based on platform outputs.

13. INTELLECTUAL PROPERTY RIGHTS

The platform and associated data belong to the Licensor. The Customer grants a data usage licence to 10 Good Minutes to deliver services.

14. CONFIDENTIAL INFORMATION

Both parties agree to safeguard confidential information unless disclosure is legally required or consented to.

15. PRIVACY

Both parties must comply with privacy laws in handling personal data.

16. CYBERSECURITY

10 Good Minutes will maintain industry-standard cybersecurity and respond to incidents promptly.

17. EXPORT LAWS

The Customer agrees to follow applicable export control laws when using the platform.

18. LICENSOR AND NOTICES

The licensor is 10 Good Minutes, as outlined in the Order Form.

19. DISPUTE RESOLUTION

Disputes must go through mediation before initiating legal proceedings.

20. AMENDMENTS

10 Good Minutes may amend these terms by notifying the Customer. Continued use of the platform indicates acceptance.

21. MISCELLANEOUS

These terms are the entire agreement. Changes must be made in writing and mutually agreed upon.
